Hi Sean,
I think the Bylaws are not clear regarding approving membership agreements by the StC:
My interpretation of the statement:
"In the case of an individual who completed an OSLC Member Agreement as an independent individual, such membership must be approved by the Steering Committee."
was, that only membership of "independent individual" as defined in the section "Independent OSLC Members" have to be approved by the StC, but not regular members.
I'm not sure what the "Acceptance of new OSLC Member" clause in the "Steering Committee duties and responsibilities" sections means. It says "can accept" but not "has to accept". I don't think StC members should have to accept OSLC Members, as long the StC can denial membership "based on a reasonable belief ..".
Could you please clarify this for us (with a legal person)? If the acceptance of membership is a necessary as a formal step, the StC should entitle you to do this on StCs behalf.
In addition, IP rights only come into the play with WPA's; membership (even for an "Independent OSLC Member") alone should not have any IP right dependencies.

A member's agreement has been completed by an individual [1]. As per the bylaws [2], before the agreement is accepted it needs to be reviewed by you.
Before we proceed with that review, I will contact the individual to make sure that:
a) he is completely free to sign the agreement, i.e. there are no IP rights claimed by his employer
b) it doesn't make sense for him and his employer to have the agreement signed in the "common" way
I will let you know how this proceeds. If you want more details, I can provide them on a separate email.
